Acquisition of 25% of DMG Radio Australia Investments Pty Ltd

DMGT announces that, at today's Extraordinary General Meeting of GWR Group plc, GWR shareholders approved the disposal of its 25 per cent interest in DMG Radio Australia Investments Pty Limited and the issue of 5,817,000 new ordinary shares of 5 pence in GWR to DMGT, as announced on 1 August 2002 (the "Transaction").

Completion of the Transaction is expected to occur on 25 September, 2002. Following the issue of new ordinary shares, DMGT will hold a total of 39,114,876 ordinary shares in GWR, representing 29.97 per cent. of GWR's enlarged ordinary share capital.
